Terms of Use

These terms of use govern your use of the SoftISP internet billing platform. By accessing or using the system, you agree to follow the commitments outlined below.

1.      System Access

SoftISP operates on a postpaid basis. To maintain uninterrupted access, you must renew on or before the expiry date. We’ll send reminders if payment is overdue; however, unpaid accounts will have access temporarily suspended until all outstanding amounts are cleared.

2.      Charges

  • First-time account setup is free and includes remote support only, provided on a firstcome, firstserved basis. If you require on‑site technical support, we will issue a separate quote based on factors such as distance, required man‑hours, and per diem. All on‑site support fees must be paid in advance.
  • Hotspot/Wi-Fi Usage Fees: We charge a recurring 5% fee on total sales or revenue collected per week or per month from your Hotspot/Wi‑Fi services. There is no limit to the number of customers or locations you can add to your account.
  • PPPoE Usage Fees: We charge a 3% per collection (customer payment)
  • Transaction charges:
  1. Mobile Money payments: Each customer payment made via Mobile Money (MM) incurs two transaction charges—one from the telecom company and one from the Mobile Money Operator. These charges are borne by the payer and may be changed by the respective providers without prior notice.
    Please note that transaction charges are not part of the system subscription fee and are not collected by Zabbuli Systems Ltd.
  2. Voucher, Wallet and Agent payments: Transactions made through Vouchers, Wallets, or Agents carry no transaction charges.
    • Technical Assistance: Configuration or setup of Hotspot and PPPoE routers is free of charge when done via remote support or when you visit our offices. If you require on‑site technical support, it will be provided at an additional fee.

3.      Support Response & Resolution Timelines

We acknowledge all support requests within 12 business hours. Resolution times vary based on factors such as issue complexity, required integrations with other business systems, and involvement from third‑party partners.

While we strive to resolve issues as quickly as possible, some cases may depend on actions or responses from external partners, which can affect overall timelines. Please note that resolution timeframes are paused whenever we are awaiting information, approvals, or access permissions from you or any involved third party.

4.      Proprietary Rights

All materials contained in the SoftISP system and Website (“the Contents”), including without limitation text, images, music, computer programmes and all other kinds of works, are protected by applicable copyright, trademark and/or other intellectual property laws. All titles, rights and/or interests in the Contents are owned by, licensed to or controlled by Zabbuli Systems Ltd. You shall NOT copy or duplicate the system.

5.      Payment Responsibility and Indemnification

You are solely responsible for verifying the accuracy of account or mobile numbers and payment instructions when sending us fees or when remitting payments to anyone through the system. You agree to indemnify, defend, and hold Zabbuli Systems Ltd harmless from any claims, charge-backs, penalties, or losses that arise from payments sent to an incorrect or unauthorised account or mobile number, whether caused by user error or by third parties acting on your behalf.

6.      Few Disclaimers

We strive to provide a reliable system, but we offer it “as is” and cannot guarantee perfection. We disclaim any warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We cannot be held responsible for internet downtimes, router malfunctions, or issues caused by you, 3rd party agents, installers, your employees, or third-party equipment.

7.      Being a Responsible User

You are responsible for maintaining the security of your account and password. All activity conducted through your account is deemed to be under your authority. You agree to use the system lawfully and in full compliance with these Terms of Use.

You also agree to uphold all applicable data privacy and protection laws, including the General Data Protection Regulation (GDPR) and the requirements of the Personal Data Protection Office of Uganda.

8.      Agency and Liability

The “agents” or installers are independent service providers and are not employees, representatives, or affiliates of Zabbuli Systems Ltd. They are individuals with technical knowledge of the product who may assist you with installation, setup, or configuration.

All fees for their services are negotiated directly between you and the agent/installer, and you agree to pay them according to the terms you mutually establish.

Zabbuli Systems Ltd shall not be held liable for any actions, omissions, damages, or claims arising from the work, conduct, or performance of these independent agents or installers.

9.      Keeping Things Going Smoothly

We reserve the right to terminate your access to the system and these terms at any time, for any reason, with or without notice. You may also terminate these terms by discontinuing your use of the system.

10.  Understanding Our Limitations

In the event of issues arising from your use of the system, we won’t be liable for any damages, including direct, indirect, incidental, consequential, or punitive damages.

11.  Governing Laws and Agreements

These terms are governed by and construed in accordance with the laws of the Republic of Uganda, without regard to its conflict of laws provisions. They constitute the entire agreement between you and us regarding the use of the system.

12.  Keeping Up with Changes

We may modify these terms at any time and will keep you informed by posting the revised terms on the system or our website. Your continued use after changes are posted signifies your agreement to the revised terms.
